By accessing or using ACG PulseIntel ("the Platform"), a product of Augmentation Consulting Group Inc. ("ACG," "we," "us," or "our"), you ("User," "Client," or "you") expressly agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Data Processing Agreement, and all applicable laws and regulations of the United States of America and the State of Connecticut.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have full legal authority to bind such organization. If you do not agree to all Terms, you are prohibited from accessing or using the Platform.
ACG PulseIntel is a proprietary AI-powered enterprise communication intelligence platform developed and maintained by Augmentation Consulting Group Inc. The Platform aggregates, analyzes, and presents communications from multiple enterprise platforms including Microsoft Teams, Microsoft Outlook, Slack, Gmail, Zoom, and Google Meet.
Core capabilities include AI-powered message prioritization and scoring; personalized AI-generated reply drafts; cross-platform daily intelligence reports; meeting tracking and AI briefing generation; real-time webhook-based message ingestion; and enterprise-grade security and access controls. The Platform utilizes Anthropic PBC's Claude API for AI capabilities.
You must be at least 18 years of age. You must provide accurate, complete, and current registration information and update it promptly. Business accounts require the registrant to be authorized to bind the organization.
You are responsible for maintaining the confidentiality and security of your login credentials. You agree to: use a strong, unique password; enable multi-factor authentication when available; notify ACG immediately at security@augmentationconsultinggroup.com of any suspected unauthorized access; and ensure you log out at the end of each session. ACG will not be liable for any loss arising from unauthorized use of your account.
ACG reserves the right to suspend or terminate any account that it believes, in its sole discretion, has violated these Terms, engaged in fraudulent activity, or poses a security or legal risk to the Platform, ACG, or other users. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature survive termination shall remain in effect.
The Platform is licensed exclusively for lawful internal business communication management and intelligence purposes. You may use the Platform to manage, analyze, and respond to your authorized business communications in accordance with these Terms.
You expressly agree NOT to:
ACG reserves the right to implement rate limiting, throttling, or usage caps to maintain Platform performance for all users. Excessive or abusive API usage that negatively impacts Platform performance for other users constitutes a violation of these Terms.
You retain full ownership of all communication content you introduce to the Platform. ACG claims no ownership interest in your data. ACG's rights to your data are limited solely to what is necessary to provide, maintain, and improve the Service as described in these Terms.
ACG processes your data exclusively to: render the Platform's features; maintain Platform stability and performance using anonymized, aggregated analytics; comply with legal obligations; and fulfill contractual obligations to you. ACG does not sell, trade, rent, or share your communication content with third parties for marketing, advertising, or any commercial purpose whatsoever.
Message content and metadata are transmitted to Anthropic PBC's Claude API for AI processing when you use AI features. This processing is governed by Anthropic's Enterprise Data Privacy Policy and Data Processing Agreement. Anthropic has committed that API-submitted data is not used to train models. You may configure the Platform to use your own Anthropic API key for full data sovereignty and to prevent any message content from transiting ACG's backend infrastructure.
ACG employs industry-standard security measures including: AES-256 encryption at rest for all credentials and sensitive data; TLS 1.2+ encryption in transit for all communications; row-level security (RLS) database policies ensuring users can only access their own data; HTTPS-only access enforcement; JWT-based authentication with automatic token rotation and refresh; and regular security assessments and vulnerability testing.
Communication data is retained for the duration of your active account and for 90 days following account termination, after which it is permanently and irreversibly deleted from all ACG systems. You may request immediate deletion of all your data at any time by contacting privacy@augmentationconsultinggroup.com. Profile and settings data is deleted within 30 days of a verified deletion request. Backups are purged on a rolling 30-day schedule.
If you are a California resident, you have the right under the CCPA to: know what personal data is collected and how it is used; opt out of sale of personal data (ACG does not sell personal data); request deletion; and non-discrimination for exercising these rights. If you are an EEA or UK resident, you have GDPR rights including: access, rectification, erasure, restriction, portability, and the right to object to processing. Submit requests to privacy@augmentationconsultinggroup.com. ACG will respond within 30 days.
The Platform uses strictly necessary session cookies and localStorage for authentication. ACG does not use third-party advertising trackers, behavioral analytics, or cross-site tracking on the Platform. Anonymous usage statistics may be collected to improve Platform performance and reliability.
All right, title, and interest in and to the Platform — including but not limited to all software, source code, algorithms, APIs, database schemas, user interface designs, documentation, trademarks, trade names, service marks, and the names "ACG PulseIntel" and "Augmentation Consulting Group" — are and shall remain the exclusive property of ACG and are protected by United States and international intellectual property laws.
Subject to your compliance with these Terms, ACG grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes. This license does not include any right to sublicense, modify, distribute, publicly display, publicly perform, or create derivative works of the Platform.
If you provide ACG with feedback, suggestions, or ideas regarding the Platform, you grant ACG a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, and exploit such feedback for any purpose without any obligation to you.
You grant ACG a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Platform features you have enabled. This license terminates upon deletion of your content or account closure, subject to the data retention schedule in §5.5.
Use of Microsoft (Teams, Outlook), Google (Gmail, Google Meet, Google Drive, Google Calendar), Slack, and Zoom integrations is subject to each respective platform's Terms of Service, Privacy Policy, and Acceptable Use Policies. By connecting these integrations, you represent that you have the authority and right to grant ACG access to the relevant accounts and data.
ACG is not responsible for: third-party platform outages, downtime, or service degradation; changes to third-party APIs that disrupt integration functionality; third-party data handling or privacy practices; loss of access to third-party platforms. ACG will make commercially reasonable efforts to maintain integrations, but cannot guarantee compatibility with all future third-party platform changes.
All third-party OAuth access tokens and refresh tokens stored by ACG are encrypted using AES-256-GCM encryption before storage. Tokens are never logged, displayed in plaintext, or transmitted in any form other than their encrypted representation. You are responsible for revoking third-party access tokens in the event of a suspected breach.
AI features are powered by Anthropic PBC's Claude API. Your use of AI features constitutes acceptance of Anthropic's usage policies. ACG is not responsible for AI-generated content accuracy, completeness, or suitability for any purpose. AI content is provided strictly as a decision-support tool.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACG AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
AI-GENERATED CONTENT IS ADVISORY IN NATURE AND IS NOT A SUBSTITUTE FOR PROFESSIONAL BUSINESS, LEGAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE. ACG EXPRESSLY DISCLAIMS LIABILITY FOR ANY DECISION MADE BASED ON AI-GENERATED CONTENT.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACG, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:
ACG'S TOTAL AGGREGATE CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO ACG IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ACG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to defend, indemnify, and hold harmless ACG and its affiliates, officers, directors, employees, attorneys, agents, successors, and assigns from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and litigation costs) arising out of or in connection with:
ACG reserves the right to assume exclusive control of any matter subject to indemnification. You agree to cooperate fully with ACG's defense of any such claim and not to settle any matter without ACG's prior written consent.
The Platform is not designed for use as a "covered entity" or "business associate" under HIPAA/HITECH without a separately executed Business Associate Agreement ("BAA") with ACG. Processing, storing, or transmitting Protected Health Information ("PHI") as defined by 45 C.F.R. §160.103 without an executed BAA constitutes a material breach of these Terms and may expose you to significant regulatory liability.
Healthcare organizations requiring HIPAA compliance should contact compliance@augmentationconsultinggroup.com before onboarding. ACG will evaluate BAA requests on a case-by-case basis. Execution of a BAA does not guarantee HIPAA compliance — users remain responsible for their own compliance obligations.
You agree to fully indemnify and hold harmless ACG for any regulatory penalties, fines, civil claims, or legal costs arising from your unauthorized processing of PHI on the Platform without an executed BAA, including any fines assessed by the Office for Civil Rights (OCR) of the U.S. Department of Health and Human Services.
Current Platform pricing, subscription tiers, and billing cycles are published at the applicable order form or pricing page. ACG reserves the right to change pricing with thirty (30) days advance written notice to active subscribers.
All fees are billed in advance on a monthly or annual basis as selected at signup. Fees are non-refundable except where required by applicable law. Failure to pay may result in suspension of Platform access. Accounts 30+ days past due may be permanently terminated.
ACG may offer free tier or trial access subject to usage limitations as described at the time of enrollment. ACG reserves the right to modify, discontinue, or convert free access to paid access with reasonable notice.
ACG targets 99.5% monthly uptime for the Platform API and web interface, excluding scheduled maintenance windows. This is a target, not a guarantee, and does not constitute a binding Service Level Agreement unless separately executed in a written SLA addendum.
ACG may conduct scheduled maintenance with advance notice via the Platform dashboard or email. Emergency maintenance may be conducted without advance notice when necessary to protect the security or integrity of the Platform.
The Platform may be unavailable due to circumstances beyond ACG's control including third-party infrastructure failures, natural disasters, cyberattacks, regulatory actions, or force majeure events. ACG's sole liability for unplanned downtime is limited to service credits as described in any applicable SLA addendum.
ACG reserves the right to modify these Terms at any time. Material changes will be communicated via email to the address on file and/or via a prominent notice within the Platform at least fourteen (14) days prior to taking effect. Your continued use of the Platform after the effective date of modified Terms constitutes acceptance of the changes. If you do not agree to modified Terms, you must discontinue use and request account termination.
ACG reserves the right to modify, enhance, suspend, or discontinue any feature of the Platform at any time with or without notice. ACG shall not be liable to you or any third party for any modification, suspension, or discontinuation of Platform features.
These Terms and any dispute arising out of or relating to the Platform shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions.
EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL BE FINALLY RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") PURSUANT TO ITS COMMERCIAL ARBITRATION RULES. The arbitration shall take place in Hartford County, Connecticut. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
YOU AND ACG EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All disputes shall be resolved on an individual basis only. This waiver is a material term of these Terms; if it is found unenforceable, the entire arbitration clause shall be null and void.
Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm, intellectual property infringement, or unauthorized use of confidential information, without waiving the right to arbitrate the underlying dispute.
Any claim arising out of or relating to these Terms must be brought within one (1) year of the date on which the cause of action accrued, after which it is permanently barred.
These Terms, together with the Privacy Policy, any executed BAA, and any applicable order forms or SLA addenda, constitute the entire agreement between you and ACG with respect to the Platform and supersede all prior agreements, understandings, negotiations, and representations.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
ACG's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless ACG explicitly and in writing acknowledges the waiver. A single waiver shall not be construed as a continuing waiver of any right.
You may not assign, delegate, or transfer these Terms or any rights or obligations hereunder without ACG's prior written consent. ACG may freely assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any purported assignment in violation of this provision is null and void.
ACG shall not be liable for any delay or failure to perform obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, cyberattacks, government actions, power outages, internet infrastructure failures, or third-party service provider outages.
You agree to comply with all applicable U.S. and international export control laws and regulations. You represent that you are not located in, under the control of, or a national of any country subject to U.S. trade embargo, and that you are not on the U.S. Treasury Department's Specially Designated Nationals list.
If you are a U.S. Federal Government agency or entity, the Platform and documentation are provided as "Commercial Computer Software" and "Commercial Computer Software Documentation" as those terms are defined in 48 C.F.R. §12.212. Use, duplication, or disclosure is subject to the restrictions in these Terms.
Legal notices to ACG must be delivered in writing to: Augmentation Consulting Group Inc., Connecticut, USA, Attn: Legal Department, legal@augmentationconsultinggroup.com. ACG may provide notices to you via the email address registered to your account. Notices are effective upon receipt.
These Terms create no partnership, joint venture, employment, agency, or franchise relationship between you and ACG. Neither party has the authority to bind the other in any respect.
